Position Overview: Senior Legal Counsel

The Senior Legal Counsel will serve as a trusted legal advisor to senior management and various business units across Fatima Group. This executive role demands a professional with substantial legal expertise who can balance legal risks with business objectives while ensuring complete compliance with all applicable laws and regulations.

The successful candidate will be responsible for managing complex legal matters, providing counsel on corporate governance, and developing strategies to protect the organization’s interests across all operational domains. Core Responsibilities: A Comprehensive Overview

1. Strategic Legal Advisory & Business Partnership

• Provide expert legal counsel to executive leadership on corporate governance, regulatory compliance, and strategic initiatives

• Develop and implement proactive legal strategies that support business objectives while mitigating legal risks

• Review and advise on major business decisions, investments, and expansion projects from a legal perspective

• Serve as a strategic business partner to departmental heads, offering practical legal solutions to operational challenges

2. Contract Management & Negotiation

• Draft, review, and negotiate complex commercial agreements including supply contracts, joint ventures, technology licenses, and service agreements

• Develop and maintain standardized contract templates and legal processes to improve efficiency across the organization

• Ensure all contractual arrangements adequately protect the company’s interests while maintaining compliance with legal requirements

• Provide specialized training to business teams on contract law principles and risk management

3. Corporate Governance & Compliance

• Oversee the organization’s corporate governance framework, ensuring compliance with statutory requirements and best practices

• Manage regulatory compliance programs across multiple jurisdictions and industrial sectors

• Prepare and maintain corporate records, including board minutes, resolutions, and statutory registers

• Advise on securities law compliance and disclosure requirements for affiliated publicly-listed entities

4. Dispute Resolution & Litigation Management

• Develop strategies for effective dispute resolution, including negotiation, mediation, arbitration, and litigation

• Manage and coordinate with external legal counsel on litigation matters, ensuring cost-effective representation

• Conduct internal investigations when required and recommend appropriate corrective actions

• Maintain comprehensive litigation records and provide regular updates to senior management

5. Regulatory Affairs & Policy Monitoring

• Monitor legislative and regulatory developments that may impact the organization’s operations

• Analyze and communicate the business implications of new laws and regulations to relevant stakeholders

• Represent the organization’s interests in interactions with regulatory bodies and industry associations

• Develop and implement policies and procedures to ensure ongoing regulatory compliance

Required Qualifications & Experience for Senior Legal Counsel :

Educational Background

• LLB or JD degree from a recognized and accredited law school

• Admission to practice law in Pakistan, with current practicing certificate

Professional Experience

• Minimum of 8-10 years of progressive legal experience, with significant exposure to corporate and commercial law

• Proven track record of providing legal counsel to large industrial or manufacturing organizations

• Substantial experience in contract negotiation, corporate governance, and regulatory compliance

• Background in dealing with multiple regulatory domains including corporate law, environmental regulations, labor law, and commercial transactions
